A governance review is a comprehensive assessment of all components of a
business’s corporate governance framework. The process includes a review of
existing policies and procedures, compliance with industry standards and the
current relationships both within the board structure and those with the
organisations. Reviews will consider the ASX Principles in addition to the
Australian Standards on Corporate Governance or specific industry requirements
e.g. APRA regulated.
The governance review includes:
1. An assessment of the governance roles within the organisation i.e. who is
responsible for what including the function of chairman, company secretary and
committees.
2. Board processes including meetings and associated paperwork.
3. Board responsibilities including strategy development, performance and
conformance issues, and risk management.
4. Development and improvement including evaluation processes, recruitment
and training.
